📄 These Terms & Conditions ("Terms") govern your use of the TezzSoft website (www.tezzsoft.com) and all software development, design, marketing, and related services provided by TezzSoft. By using our site or services, you agree to be bound by these Terms.
By accessing or using the TezzSoft website or services, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements, and agree to be bound by these Terms and our Privacy Policy.
If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
These Terms apply to all visitors, users, and clients of TezzSoft. If you do not agree to any part of these Terms, please do not use our website or services.
TezzSoft provides custom software development and digital services including, but not limited to:
Specific services, scope, deliverables, timelines, and pricing for each project are defined in a separate written Service Agreement or Statement of Work (SOW), which forms part of these Terms when signed.
TezzSoft reserves the right to modify, suspend, or discontinue any service offering at any time with reasonable notice to affected clients.
Some services may require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activities that occur under your account. Notify us immediately at security@tezzsoft.com if you suspect unauthorized access to your account. TezzSoft will not be liable for losses arising from unauthorized account use.
Access to staging environments, repositories, and project management tools is provided for the duration of the project and AMC period. Credentials and repository access will be fully transferred to you upon final project payment.
All pricing is as stated in the signed Service Agreement or SOW. Prices are in Indian Rupees (INR) unless otherwise agreed. For international clients, invoices may be raised in USD, AED, or GBP as mutually agreed.
Unless otherwise specified in the Service Agreement, standard payment terms are:
Invoices are due within 7 days of issuance unless stated otherwise. Late payments may incur interest at 1.5% per month. TezzSoft reserves the right to suspend work or access to deliverables for accounts overdue by more than 14 days.
Advance payments are non-refundable once project work has commenced, as these cover discovery, planning, and initial resource allocation. If TezzSoft fails to deliver agreed milestones without valid reason, refunds will be assessed on a case-by-case basis in good faith. Disputes are subject to Section 12.
All prices are exclusive of applicable taxes. GST (Goods and Services Tax) at the applicable rate will be added to invoices for Indian clients. International clients are responsible for any applicable taxes in their jurisdiction.
Upon receipt of full and final payment for a project, TezzSoft assigns to you all intellectual property rights in the custom deliverables created specifically for your project — including source code, designs, databases, and documentation. You receive a perpetual, irrevocable, worldwide, royalty-free license.
TezzSoft retains ownership of all pre-existing intellectual property, proprietary frameworks, internal libraries, methodologies, tools, and know-how ("TezzSoft IP") used in delivering your project. We grant you a non-exclusive, royalty-free license to use TezzSoft IP solely as embedded in your deliverables.
Some deliverables may include open-source software, licensed third-party libraries, or stock assets. TezzSoft will disclose these in project documentation. Your use of these components is subject to their respective licenses.
All content on www.tezzsoft.com — including text, graphics, logos, images, and code — is the property of TezzSoft and is protected by copyright law. You may not reproduce, distribute, or commercially exploit any content without written permission.
TezzSoft may request permission to display completed work in our portfolio. We will never add your project to our portfolio without your explicit written consent. You may withhold consent at any time without affecting your service agreement.
Both parties agree to keep confidential all non-public information shared during the course of the engagement, including business plans, technical requirements, financial information, and trade secrets.
This obligation survives termination of the service agreement for a period of 3 years. Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.

TezzSoft provides a 30-day bug-fix warranty after project go-live, covering defects that prevent the software from performing as specified. This warranty does not cover issues arising from client modifications, third-party integrations outside our scope, or infrastructure changes made by the client.
Except as expressly stated above, services are provided "as is". TezzSoft makes no warranties regarding uninterrupted or error-free operation, specific business outcomes, compatibility with all future software updates, or results from SEO and marketing services (which depend on external factors).

To the maximum extent permitted by applicable law, TezzSoft's total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of certain liabilities, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless TezzSoft, its directors, employees, and contractors from any claims, damages, costs, and expenses (including reasonable legal fees) arising from:
Either party may terminate a Service Agreement with 30 days' written notice. Upon termination, TezzSoft will deliver all completed work to date, and you will pay for all work completed up to the termination date at the agreed rate.
TezzSoft may terminate immediately and without refund if you: fail to make payment after 14 days' notice; use our services for illegal purposes; or materially breach these Terms and fail to remedy within 7 days of written notice.
Upon termination, all licenses granted revert to TezzSoft except for deliverables fully paid for. Confidentiality obligations survive termination. Sections 5, 6, 8, 9, and 12 survive termination indefinitely.
You agree not to use TezzSoft's website or services to:
Violation of these restrictions may result in immediate termination without refund and potential legal action.
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Patna, Bihar, India.
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days from written notice of the dispute.
If negotiation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India) with a single arbitrator mutually agreed upon, conducted in English in Patna.
For international clients, disputes may alternatively be resolved by the Singapore International Arbitration Centre (SIAC) rules if mutually agreed in the Service Agreement.
TezzSoft reserves the right to update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and posting a notice on our website. For active clients, we will provide 30 days' advance notice of material changes via email.
Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
